Software License Agreement

Please read this agreement before installing or using SunnyPOS software. By installing, activating, accessing, or using Mint, OrderUp, or related SunnyPOS software or services, you agree to this Software License Agreement.

1. Products covered

This Software License Agreement applies to SunnyPOS software products, including Mint, OrderUp, related installers, updates, documentation, license services, download services, and support tools.

2. Acceptance

You accept this Agreement when you install the software, click or check an “I agree” option, activate a license, sign in to a SunnyPOS account, download an update, or continue using the software after receiving notice of updated terms. If you do not agree, do not install or use the software.

3. License grant

SunnyPOS grants you a limited, non-exclusive, non-transferable license to install and use the software for your own business operations, subject to the license type, subscription, activation, and product limitations that apply to your purchase or account.

4. License key, activation, and subscription

The software may require a license key, account login, activation, or subscription. Some features may be available only with a valid license or active subscription. SunnyPOS may enable, disable, limit, or change access to licensed features based on license status, expiration, payment status, or product plan.

5. Restrictions

You may not copy, resell, sublicense, rent, lease, reverse engineer, decompile, modify, or bypass licensing or activation controls unless allowed in writing by SunnyPOS. You may not misuse SunnyPOS servers, license services, download services, or security systems.

6. Ownership

SunnyPOS and its licensors retain all ownership, copyright, trademark, and intellectual property rights in the software, documentation, website materials, logos, and related services.

7. Updates and support

SunnyPOS may provide updates, fixes, improvements, or new versions. Updates may be required for security, compatibility, licensing, support, or continued use of online services. Support availability, response time, and scope may depend on your product, plan, subscription, or written support arrangement.

8. License checks, heartbeat, download logs, and diagnostics

The software may periodically communicate with SunnyPOS servers for license validation, activation, version reporting, update checks, installation status, support diagnostics, heartbeat/status reporting, and download logging.

These communications may include product name, product version, license identifier, installation identifier, store or business name if provided, machine or device hash, operating system version, time zone, status information, usage counters, error information, IP-related technical information, and download/version information.

Heartbeat, license-check, and download systems are not intended to collect full payment card numbers, card security codes, PINs, magnetic stripe data, or chip card track data.

9. Payment processing and PCI responsibility

If the software is used with payment devices, gateways, terminals, processors, or other payment systems, you are responsible for using those systems properly and for meeting applicable PCI DSS, payment network, processor, and legal requirements.

10. Customer data and backups

You are responsible for the accuracy, legality, retention, backup, and security of your business data, including sales records, menu data, customer information, payment records, reports, and local database files.

11. Online agreement and changes

The current version of this Agreement is posted on the SunnyPOS website. SunnyPOS may update this Agreement from time to time. For material changes, SunnyPOS may provide notice by website notice, email, installer notice, account notice, in-product notice, or other reasonable method. Continued use after the effective date means you accept the updated terms.

12. Refunds

Refunds, if any, are governed by the SunnyPOS Refund Policy, your purchase terms, or a separate written agreement.

13. Warranty disclaimer and limitation of liability

The software and related services are provided “as is” and “as available” to the maximum extent permitted by law. SunnyPOS disclaims all warranties, express or implied. To the maximum extent permitted by law, SunnyPOS will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages.

14. Governing law and venue

This Agreement is governed by the laws of the State of California. Any dispute relating to this Agreement, the software, or SunnyPOS services must be brought in the state or federal courts located in Orange County, California, unless applicable law requires otherwise.
